By creating an account, placing an order, subscribing to our products, or using any part of the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We may update these Terms at any time. Continued use of the Site after changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Products & Health Disclaimer

Results may vary. You should consult a qualified healthcare professional before using any dietary supplement, especially for children.

Halla makes no warranties, express or implied, regarding the efficacy of its products for any particular individual. Testimonials, reviews, and user stories represent individual experiences and are not guaranteed outcomes.

You acknowledge that you are solely responsible for determining the suitability of our products for you or your child, and that you assume all risk associated with use of the products.

3. Ordering, Pricing & Availability

All orders are subject to availability and acceptance. We reserve the right to refuse or cancel any order for any reason, including suspected fraud, inventory limitations, or pricing errors.

Prices are subject to change at any time without notice. Promotional pricing, discounts, and special offers may be modified or discontinued at our sole discretion.

In the event of a pricing error, Halla reserves the right to cancel the order and issue a refund, or to contact you with the correct price before fulfillment. We are not obligated to honor incorrectly priced orders.

4. Subscription Terms

By enrolling in a subscription, you authorize Halla to automatically charge your payment method on a recurring basis at the interval you selected (e.g., monthly) until you cancel.

It is your sole responsibility to cancel your subscription before the next billing date if you no longer wish to receive the product.

Subscription pricing may change with 15 days' notice sent to the email address on file. Continued subscription after such notice constitutes acceptance of the new pricing.

Halla is not responsible for failed deliveries due to incorrect addresses, expired payment methods, or other account issues caused by the customer.

5. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, images, videos, product formulations, brand names, and software — is the exclusive property of Halla or its licensors and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Site without our prior written consent.

Any unauthorized use of Halla's intellectual property may result in legal action, including claims for damages and injunctive relief.

6. User-Generated Content

By submitting reviews, testimonials, photos, or any other content to Halla (via the Site, email, social media, or any other channel), you grant Halla a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, reproduce, modify, adapt, publish, display, and distribute such content in any media for any purpose, including advertising and marketing.

You waive any rights to compensation or credit for such use.

You represent that any content you submit is original, does not infringe on any third-party rights, and does not contain false, misleading, or defamatory statements.

7. Limitation of Liability

In no event shall Halla's total aggregate liability to you for all claims arising out of or related to the Site or products exceed the amount you paid to Halla in the 12 months preceding the claim.

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

8. Indemnification

You agree to indemnify, defend, and hold harmless Halla, its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Site or products
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to Halla

9. Disclaimer of Warranties

Halla does not warrant that the Site will be uninterrupted, error-free, or secure. Halla does not warrant that any product will achieve specific results for any individual.

10. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product purchased from Halla shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

The arbitration shall take place in the state of Halla's principal place of business.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only and not as a class action, collective action, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.

The arbitrator's decision shall be final and binding. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise.

Notwithstanding the foregoing, Halla reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which Halla's principal business operates, without regard to conflict of law principles. Any legal action not subject to arbitration shall be filed exclusively in the state or federal courts located within that jurisdiction.

12. Privacy & Data Collection

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

Halla may use your email address and contact information for transactional communications, marketing, and promotional purposes. You may opt out of marketing communications at any time, but transactional emails related to your orders and account are non-optional.

13. Third-Party Links & Services

The Site may contain links to third-party websites or services. Halla is not responsible for the content, accuracy, or practices of any third-party sites and does not endorse them. Your use of third-party services is at your own risk.

14. Account Termination

Halla reserves the right to suspend or terminate your account and refuse any current or future use of the Site, in whole or in part, at our sole discretion, for any reason, including but not limited to violation of these Terms, suspected fraud, or policy abuse.

Upon termination, your right to use the Site ceases immediately, but all provisions of these Terms that should survive termination shall remain in effect (including Sections 5–8, 10, and 11).

15. Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and Return & Refund Policy, constitute the entire agreement between you and Halla.

16. Force Majeure

Halla shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, shipping carrier delays, or technological failures.
